Board Meeting Intimation for Results & Closure of Trading Window

With reference to the earlier announcement dated May 23, 2016 regarding notice of the meeting of the Board of Directors of the Company to be held on May 30, 2016 inter alia, to consider, approve and take on record the Audited Financial Results of the Company for the year ended March 31, 2016.

Further, IL&FS Engineering and Construction Company Ltd has inform that the Board of Directors of the Company in the said meeting may consider:

1. Additional fund raising options for an amount up to Rs.500 Crore, and

2. To seek shareholders’ approval for the same by way of Postal ballot

Further, as per the "Code of Conduct for Prevention of Insider Trading" formed under the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, the trading window shall be closed from May 26, 2016 to June 01, 2016 (both days inclusive) for Directors, Officers and Designated Employees, and their dependents and family members. The trading window shall be opened for the aforementioned on June 02, 2016.
