| Exchange Disseminated Time 08/01/2016 18:52:57 | With reference to the earlier letter dated January 07, 2016 regarding Q3 results on Jan 29, 2016, eClerx Services Ltd has now informed BSE that a Meeting of Board of Directors of the Company will be held on January 29, 2016, inter alia, to approve and take on record the Un-audited Financial Results for the quarter and nine months ended on December 31, 2015. Further, the earnings call for the 3rd quarter Results would be held on the same day and the earnings details will also be available on the Company's website, www.eclerx.com.
Pursuant to the Code of Conduct of the Company under the SEBI (Prohibition of Insider Trading) Regulations, 2015, the Trading Window for dealing in securities of the Company has been closed with effect from January 01, 2016, until 48 hours after the outcome of the Board meeting is announced.
With reference to the recent issue of bonus shares, the fractional shares so generated have been consolidated and allotted to Mr. VK Mundhra who holds the same as trustee(s) for the members entitled thereto, and sell the said shares at the prevailing market rate and pay to the Company the net sale proceeds thereof, after adjusting there from the cost and expenses in respect of such sale, for distribution to Members in proportion to their fractional entitlements. In view of the Trading Window Closure as per the aforesaid SEBI Regulations, the said sale of shares will be taken up only after the Trading Window is open. |
