| Exchange Disseminated Time | Shanthi Gears Ltd has informed BSE that the Board of Directors of the Company at its meeting held on July 20, 2012, have approved the following:
1. The Board of Directors took on record the Detailed Public Statement made on July 20, 2012 and published in Newspapers.
2. The Board also approved the formation of a committee of Independent Directors comprising of:
(a) Sri. M Alagiriswamy;
(b) Sri. CG Kumar;
(c) Dr. D. Padmanaban; and
(d) Sri. M.J Vijayaraaghavan
has been constituted to provide an independent assessment of the open offer and provide their recommendations to the shareholders of the Company within the time frame and manner as specified under the SEBI (Substantial Acquisition & Takeover) Regulations, 2011. |
