| Exchange Disseminated Time | VMF Softech Ltd has informed BSE that the members at the Annual General Meeting (AGM) of the Company held on December 09, 2009, inter alia, have considered and approved the following items of business:
1. Adopted the Balance Sheet as at June 30, 2009 and Profit & Loss account for the period ended as on that date along with the Director's Report and Auditors Report thereon.
2. Re-appointed Mr. P. Krishnam Raju as Director liable to retire by rotation.
3. Re-appointed M/s. Mahesh, Virender & Sriram, the Statutory Auditors of the Company to hold office till the conclusion of the next Annual General Meeting.
4. Regularized the appointment of Mr. Krishna Reddy Chintam as Director liable to retire by rotation.
5. Regularized the appointment of Mr. Niranjan Reddy Chintam as Director liable to retire by rotation.
6. Regularized the appointment of Mr. Rajendra Vithal Naniwadekar as Director liable to retire by rotation.
7. Approved the Change in Management and Control of Affairs of the Company to Mr. Krishna Reddy Chintam and Mr. Niranjan Reddy Chintam.
8. Appointed Mr. Krishna Reddy Chintam as the Managing Director of the Company for a period of 3 years w.e.f. April 09, 2009.
9. Accorded the Consent to the Board of Directors to invest/ acquire securities of any Bodies Corporate u/s 372A of the Companies Act, 1956.
10. Accorded the consent to the Board of Directors for borrowing of amounts u/s 293(1)(d) of the Companies Act, 1956. |
