Dear Sir,

The decision and outcome of the meeting of the Nomination & Remuneration Committee of the Board of Directors duly held on Thursday, the 21st September, 2017 is as follows :-

Allotment of 4,71,000 equity shares of face value of INR 10/- each to the eligible employees of the Company who have exercised their stock options under the A2Z Employee Stock Option Plan 2013 (hereinafter after referred as 'Plan I') & A2Z Employee Stock Option Plan 2014 (hereinafter after referred as 'Plan II'). The allotted shares shall rank pari-passu with the existing equity shares of the Company, in all respects.

Further Consequent to the allotment, the paid up capital of the Company shall be INR 145,54,54,740/- divided into 14,55,45,474 equity shares of face value of INR 10/- each.
