Traders Limited ("Acquirer 1"), and Mrs. Sushila Devi Singhania ("Acquirer 2") for the Shareholder of Jaykay Enterprises Ltd ( Target Company) to acquire 9,655,036 (Ninety Six Lacs Fifty Five Thousand and Thirty Six Only) Equity Shares constituting 26.00% of the present issued subscribed and paid-up equity share capital of the Jaykay Enterprises Limited ("Target Company") at a price of Rs. 5.25/- (Rupees Five and Twenty Five Paisa Only) for each equity share of the Target Company, pursuant to, and in compliance with, amongst others, Regulation 3(1) of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 and subsequent amendments thereto ("SEBI (SAST) Regulations"). |
