Bharat Gears Ltd has informed BSE that the members at the Annual General Meeting (AGM) of the Company held on July 21, 2006, inter alia, have accorded to the following:

1. To receive, consider and adopt the audited accounts of the Company for the year ended March 31, 2006 together with Reports of the Auditors and Directors thereon.

2. To appoint a Directors in place of Dr Ram S Tarneja & Mr A F Hartmann, who retire by rotation and are eligible for re-appointment.

3. To appoint Auditors for the year 2006-2007, to hold office from the conclusion of this Annual General Meeting until the conclusion of the next Annual General Meeting and to fix their remuneration.
