| Exchange Disseminated Time | Country Condos Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 24, 2009, inter alia, has transacted the following businesses:
1. Taken Note of the Valuation Certificate and the Share Exchange Ratio Certificate issued by the Auditor of the Company for amalgamation of M/s. Country Club Bangalore Ltd. with M/s. Country Condo's Ltd.
2. Approved the draft Scheme of Amalgamation of M/s. Country Club Bangalore Ltd., Hyderabad with the Company M/s. Country Condo's Ltd, Hyderabad.
3. Approved the Share Exchange Ratio at 29 new Shares of Re. 1/- each of M/s. Country Condo's Ltd. for every 5 shares of Rs. 10/- each of M/s. Country Club Bangalore Ltd.
4. Authorised Mr. Y. Siddharth Reddy, CEO & Joint Managing Director and. Mr. Laxmikanth Jakhotia, Company Secretary to make all submissions and do all such acts, things, deeds which may he necessary / required for getting approvals from various statutory authorities including Stock Exchanges, Courts, etc.. on behalf of the Company. |
