| Exchange Disseminated Time | Shree Rama Multi-Tech Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 19, 2005, inter alia, has approved the following:
1. Shifting of the Registered office of the Company from Khanpur, Ahmedabad to Navrangpura, Ahmedabad.
2. Mr. Vikram R Patel, the Chairman and Managing Director of the Company resigned from the office of the Managing Director of the Company and also as the Chairman of the Board of Directors of the Company and continues as a Director on the Board of Directors of the Company w.e.f. November 19, 2005 by submitting his letter of resignation dated November 19, 2005. This item was taken up by the Board of Directors as a part of Any Other Business with the permission of the Chairman and Managing Director, Mr. Vikram R Patel. The said resignation was approved by majority of Directors. However, Mr. K C Jani, the IDBI Nominee Director and Mr. D Mohanty, the UTI Nominee Director have not approved the said resignation and have advised the Company to take the approval of the lenders. Mr. Vikram R Patel and Mr. Sharad C Patel, the Directors of the Company did not participate in the proceedings of this item.
3. Mr. Sharad C Patel, the Executive Director of the Company resigned from the office of the Executive Director and continues as a Director on the Board of Directors of the Company w.e.f. November 19, 2005 by submitting his letter of resignation dated November 19, 2005. This item was taken up by the Board of Directors as a part of Any Other Business with the permission of the Chairman and Managing Director, Mr. Vikram R Patel. The said resignation was approved by majority of Directors. However, Mr. K C Jani, the IDBI Nominee Director and Mr. D Mohanty, the UTI Nominee Director have not approved the said resignation and have advised the Company to take the approval of the lenders, Mr. Vikram R Patel and Mr. Sharad C Patel, the Directors of the Company did not participate in the proceedings of this item. |
