| Exchange Disseminated Time | Suryalata Spinning Mills Ltd has submitted to BSE a copy of the resolution passed at meeting of the Board of Directors of the Company held on February 05, 2015.
RESOLVED THAT pursuant to the provisions of Section 42, 62 and other applicable provisions, if any, of the Companies Act, 2013 and rules made there under and in accordance with the rules, regulations and guidelines of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements), Regulations 2009 (as amended from time to time), SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, the provisions of the listing agreement entered into by the Company with the Stock Exchange(s) where the securities of the Company are listed and subject to the approval (s) of Stock Exchanges and/or any other statutory/regulatory authority and other appropriate authorities, institutions, as may be required and subject to such other conditions as may be prescribed by any of them while granting any such approvals and subject to the approval of the Members through postal ballot, consent of the Board be and is hereby accorded to approve the proposal to create, offer and issue fresh 6,00,000 equity shares of Rs. 10/- each at a price not less than the price determined in accordance with SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2009 to the promoters of the Company.
