| Exchange Disseminated Time | Enkei Castalloy Ltd has informed BSE that by an order made on the December 04, 2009, the Hon'ble High Court of Judicature at Bombay has directed that a meeting of the Equity Shareholders of the Applicant Company (Enkei Castalloy Ltd) be convened and held on January 09, 2010, for the purpose of considering, and, if thought fit, approving with or without modification(s), the proposed Scheme of Arrangement between Enkei Castalloy Ltd. and Enkei Wheels (India) Ltd. In the said meeting the following business will be transacted:
1. To consider and if thought fit, approve with or without modification(s), the Scheme of Arrangement between Enkei Castalloy Ltd. and Enkei Wheels (India) Ltd.
2. To consider and if thought fit to pass, with or without modification(s), the following resolution as a Special Resolution:
- RESOLVED THAT pursuant to the provisions of Sections 78,100 to 103 and other applicable provisions, if any, of the Companies Acts, 1956 and Article 9 of Articles of Association the Company and subject to the sanction by the Hon'ble High Court of Bombay consent is hereby accorded for reduction and utilisation of Securities Premium Account of to the extent of Rs. 100 lacs of the Company. |
