1. The Board considered and took note of SEBI (Listing Obligations and Disclosure Requirements) Regulation 2015.
2. The Board has granted authority to Mr. Tarun Kumar Jain, Company Secretary of the Company to sign, execute and enter into fresh Listing Agreement with Stock Exchanges on behalf of the Company.
3. The Board considered and approved a Policy for Disclosure of Event (s) or Information (s) and Determination of Materiality as per SEBI(Listing Obligations and Disclosure Requirements) Regulation 2015.
4. The Board considered and approved the Policy for Maintenance and Preservation of documents as per SEBI(Listing Obligations and Disclosure Requirements) Regulation 2015.
5. The Board formed a Committee for the purpose of determining materiality of an event or information with the following Key Managerial Personnel:
a. Mr. Pramod Maheshwari, Managing Director
b. Mr. Om Prakash Maheshwari, Chief Financial Officer
c. Mr. Tarun Kumar Jain, Company Secretary
