Shivam Autotech Ltd has informed BSE that the Board of Directors of the Company at its meeting held on May 28, 2013, inter alia, has transacted the following:

1. The Board has recommended a final dividend of Rs. 4/- per share (40%) to the shareholders for the year ended March 31, 2013.

2. The Board has approved the appointment of Mrs. Charu Munjal as Additional Director of the Company w.e.f. May 28, 2013.

3. The Board has approved the appointment of Mrs. Charu Munjal as Whole Time Director designated as "Executive Director" of the Company w.e.f. June 01, 2013.

4. The Board has considered and approved the revision in the remuneration of Mr. Neeraj Munjal, Managing Director of the Company w.e.f. April 01, 2013.
