"On October 05, 2007, TRF Limited had acquired 51% shares (12,870,941 shares) in York Transport Equipment (Asia) Pte. Ltd., Singapore ("York Singapore") from Baker Technology Limited through its wholly owned subsidiary, TRF Singapore Pte. Ltd. TRF Limited had also entered into Call and Put Options Agreement dated October 05, 2007 ("Options Agreement") with Baker Technology Limited to
buyout balance 49% shares of York Singapore at a price to be determined based on the formulae set out in the Options Agreement.
Pursuant to exercising the Call Option Notice dated March 23, 2012, TRF Limited has acquired 12,366,198 ordinary shares, representing 49% of the issued and paid up capital of York Singapore, through its wholly owned subsidiary TRF Holdings Pte. Ltd, Singapore on March 27, 2012 at SGD 22,178.255.
