| Exchange Disseminated Time | ICICI Securities Ltd ("Manager to the Open Offer") on behalf of the Zuari Fertilisers and Chemicals Limited (“Acquirer”) together with Zuari Agro Chemicals Limited ("Persons Acting in Concert" or PACs) has informed this revised detailed public statement in terms of regulation 13(4) read with 15(2) of the securities and exchange board of india (substantial acquisition of shares and takeovers) regulations, 2011, as amended, to the public shareholders of Mangalore Chemicals & Fertilizers Ltd ("Target Company").
Offer Details:
This Offer is being made by the Acquirer and the PAC to all the Public Shareholders, for the acquisition of up to 4,33,29,000 (Four Crore, Thirty Three Lakh, Twenty Nine Thousand) Shares, representing 36.56% (Thirty Six point Five Six Per Cent) of the Voting Share Capital (the “Offer Size”). The offer price of INR 91.92 (Rupees Ninety One and Paise Ninety Two only) per Share (the “Offer Price”) will be paid in cash in accordance with Regulation 9(1)(a) of the SEBI Takeover Regulations. |
