| Exchange Disseminated Time | Enam Securities Pvt Ltd ("Manager to the Offer") on behalf of Bain Capital India Investments ("Acquirer") along with Bain Capital Fund X, L.P., Bain Capital India Integral Investors, L.P. and Bain Capital India Integral Mauritius ("Persons Acting in Concert" or "PACs") has issued this Public Announcement ("PA") to the equity shareholders of Himadri Chemicals and Industries Ltd ("Target Company"), pursuant to and in compliance with Regulation 10 and other applicable provisions of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations 1997 and subsequent amendments thereto ("SEBI (SAST) Regulations" or "Regulations").
The Offer:
The Acquirer and PACs hereby make this Offer to shareholders of the Target Company (other than the parties to the Agreements) to acquire up to 8,198,740 equity shares ("Shares") of the Target Company of face value of Rs. 10 each representing in aggregate 20% of the Fully Diluted Equity Share Capital and of the Target Company at a price of Rs. 400 (Rupees Four Hundred) per fully paid up equity share ("Offer Price") payable in cash subject to the terms and conditions mentioned in this PA and in the Letter of Offer that will be circulated to the shareholders in accordance with the SEBI (SAST) Regulations ("Letter of Offer").
