| Exchange Disseminated Time | Donear Industries Ltd has informed BSE that the shareholders at the Extra Ordinary General Meeting (EGM) of the Company held on March 25, 2006, inter alia, have determined the following:
1. To authorize the Board of Directors of the Company to make a public issue of equity share to raise funds upto Rs 1440 million for part financing of expansion project at Surat, Corporate office at Mumbai and for the growth of the Company’s business.
2. To delegate all powers and authorities in respect of effecting the public issue, including appointing intermediaries, to the Board of Directors of the Company or to a special Committee of the Company headed by the Managing Director Mr. Rajendra V Agarwal and comprising of Mr. D P Khandelwal, G M Finance and Mr. Ashok Agarwal, G M (Corp Affairs).
3. To authorize the Board of Directors of the Company to have reservations in the public issue to certain categories of persons including permanent employees and to avail of and exercise the Green Shoe Option, at the Company’s Option.
Further the Company has informed that the cap of Rs 1250 million has been revised to Rs 1440 million including green shoe option and the same has been ratified by the shareholders of the Company at the Extra Ordinary General Meeting (EGM) of the Company held on March 25, 2006. |
