| Exchange Disseminated Time | Kolte-Patil Developers Ltd has informed BSE that the Board of Directors of the Company at its meeting held on June 21, 2013, inter alia, have transacted the following :
1. The Scheme of Amalgamation :
- The Board of Directors has approved a scheme of merger of "Oakwoods Hospitality Private Limited" Pune, a Wholly Owned Subsidiary of the Company.
This merger is being planned in order to synergize the operational and business efficiencies of this Company. The Scheme of Amalgamation is subject to necessary regulatory approvals including the approval from the Hon'ble High Court of Mumbai.
2. Change in Statutory Auditors of the Company:
- The Board of Directors has approved the appointment of M/s. Deloitte Haskins & Sells, Chartered Accountants, Pune, as Statutory Auditors of the Company, in place of M/s. S P C M & Associates, Chartered Accountants, Pune, subject to the approval of shareholders.
3. The Board of Directors has approved the appointment of KPMG as Internal Auditors of the Company for the Financial Year 2013-14. |
