With reference to the earlier letter dated July 21, 2015 for Board meeting on August 03, 2015, Sanwaria Agro Oils Ltd has now informed BSE that the revised notice is hereby given that the next (Second) Board Meeting of the Board of Directors the Company is re-scheduled on August 14, 2015 at 4:00 P.M. at the registered office of the Company at E-1 1, Arera Colony, Bhopal -462016 (M.P.), inter alia, to transact the following business as under:

2. To consider and approve the draft Director Report, Corporate Governance Report and Management Discussion and Analysis for the year ended March 31, 2015;

3. To consider and appoint the Scrutinizer for conducting E-voting and voting through Poll at Annual General Meeting;

4. To adopt memorandum and articles of association under Companies Act, 2013;

5. To consider and approve the draft notice of the 24th Annual General Meeting;

6. To fix the day, date, time and venue for the 24th Annual General Meeting of the Company;

7. To consider and approve the unaudited financial results and Limited Review Report for the Quarter ended June 30, 2015;

8. To consider and approve the Secretarial Audit Report;

9. To finalize the dates of Closure of Register of Members and Share Transfer Books (Book Closure Dates) of the Company for the purpose of ensuing Annual General Meeting;

10. To consider and approve the CEO/CFO Certification.

Further, as per the Company’s Code of Conduct for prohibition of Insider Trading ("the Code”) adopted by the Company pursuant to the SEBl (Prohibition of Insider Trading) Regulations, 2015. the trading window for dealing m the securities of the Company would remain closed from August 07, 2015 to August 16, 2015 (both days inclusive) for the Promoters / Directors / Officers / Designated Employees of the Company (“the concerned persons”) for the aforesaid purposes.
