| Exchange Disseminated Time 01/08/2016 12:38:56 | Precision Wires India Ltd has informed BSE that a meeting of the Board of Directors of the Company will be held on August 10, 2016, inter alia, to consider and to take on record the following businesses:
1. The Un-audited Financial Results of the Company for the First Quarter ended (Q1) of FY 2016-17 and
2. Appointment of Mr. Nirbhay Deepak Mehta, (BSc Finance, MBA Columbia University) as Vice President. He is the related person to all the three Executive Directors of the Company and holds around 3.85% of the total Equity Share capital of the Company.
His appointment is subject to the recommendation by Nomination and remuneration Committee and approval by the Board of Directors of the Company and any other approval required under the law. His remuneration shall not exceed the threshold limit stipulated under section 188 of the Companies Act, 2013.
Further, Pursuant to the Securities and Exchange Board of India (Prohibition of Insider Trading) Regulations, 2015, the "Trading Window" for trading in the equity shares of the Company by any "Insider" covered under the said Code will be dosed from with immediate effect up to the closing hours of August 12, 2016 (both days inclusive). |
