Sub: Lakshya Forum for Competitions Pvt Ltd (LFCPL) merging with Lakshya Educare Pvt Ltd (LEPL) - Wholly Owned Subsidiaries of MT Educare Limited

Pursuant to Regulation 30 read with Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the National Company Law Tribunal, Chandigarh Bench has approved the merger of Lakshya Forum For Competitions Pvt Ltd with Lakshya Educare Pvt Ltd. (both are wholly owned subsidiary companies of MT Educare Limited) vide order dtd 17th August, 2017. In view of the above, the merger of the above named wholly owned subsidiary companies of MT Educare Limited become effective from 26th September, 2017".
Earlier, the Hon'ble High Court of Judicature at Bombay had also approved the Scheme vide Order dated 4th May, 2016.
