| Exchange Disseminated Time | IP Rings Ltd has informed BSE that the members at the 14th Annual General Meeting (AGM) of the Company held on July 27, 2005, inter alia, have accorded to the following:
1. Adoption of Audited Balance Sheet as at March 31, 2005 together with the Profit & Loss Account for the year ended on that date and the Reports of the Auditors and Directors thereon.
2. Declaration of 30% dividend on Equity Shares together with the Dividend Tax for the year ending March 31, 2005.
3. Re-appointment of Mr. A Sivasailam, Mr. N Venkataramani, as Directors of the Company.
4. Re-appointment of Messers R G N Price & CO., Chartered Accountants, Chennai, as Auditors of the Company to hold office from the conclusion of this Annual General Meeting till the conclusion of the next Annual General Meeting of the Company.
5. Alteration in Articles of Association of the Company.
6. Re-appointment of Mr. K V Shetty as Managing Director of the Company for a period of 1 year from April 01, 2005 to March 31, 2006.
7. Appointment of Dr. N Gowrishankar, who was appointed as Additional Director, as Director of the Company.
8. Appointment of Dr. N Gowrishankar as Wholetime Director of the Company for a period of 4 years from January 29, 2005 to January 28, 2009. |
