| Exchange Disseminated Time | Balmer Lawrie & Company Ltd has informed BSE that the members of the Company will consider to approve the Ordinary Resolution by way of Postal Ballot to transfer the Speciality Container Division of the Company, at Coimbatore engaged in the business of manufacture of freight / speciality containers and all its derivatives as a going concern to Transafe Services Ltd at a consideration of Rs 289 Lakhs with effect from April 01, 2007 or from any other date as the Board of Directors may think fit and the Board of Directors be and is hereby authorized to complete the transfer of the Speciality Container Division at Coimbatore with such modification as may be required by any of the concerned authorities or which may deem to be in the interest of the Company and do all such acts, deeds, matters and things as may be deemed necessary and / or expedient in the interest of the Company.
The Company has appointed Dr. Asim Kumar Chattopadhyay, a practising Company Secretary, Kolkata as Scrutinizer for conducting the postal ballot process.
The Postal Ballot form duly completed should reach the scrutinizer on or before March 08, 2007 before the close of the business hours. The scrutinizer will submit his report after completion of the scrutiny and the results of the voting by postal ballot will be published on or before March 21, 2007. |
