"We refer to our disclosure under regulation 30(1) read with regulation 30(9) of SEBI (LODR) vide our letter dated August 12, 2016, whereby we have informed that, pursuant to the effectiveness of the Scheme of Amalgamation of Holcim (India) Pvt. Ltd. with the Company (Ambuja Cements Ltd.), ACC Ltd. has become the subsidiary of the Company w.e.f. from August 12, 2016.
Regulation 33(3)(b)(i) of SEBI (LODR) provides that in case a listed entity has subsidiaries, in addition to submission of standalone financial results, the listed entity may also submit consolidated financial results in respect of the quarter during the financial year, in which the listed entity first acquires the subsidiary.
In view of ACC Ltd. becoming the Company’s subsidiary during the current quarter, apart from Standalone Financial Results, the Company will be also submitting the Consolidated Financial Results from the quarter ended September 30, 2016 onwards and shall continue the same for the remaining quarter of the current financial year ending December 31, 2016." |
