| Exchange Disseminated Time | Dharani Finance Ltd has informed BSE that the members at the 20th Annual General Meeting (AGM) of the Company held on September 07, 2010, inter alia, have accorded to the following :
1. Adoption of the Audited Balance Sheet and Profit and Loss Account together with the reports of the Auditors and Directors thereon for the year ended March 31, 2010.
2. Re-appointment of Mr R K Viswanathan, as a Director of the Company.
3. Chairman informed that due to the demise of Justice (Retd.) S. Sivasubramaniyam on July 24, 2010 at Chennai after a brief illness, resolution for reappointment of Justice (Retd.) S. Sivasubramaniyam is dropped. Chairman recalled the services of Justice (Retd.) S Sivasubramanian as Director of the Company for the last 20 years. He was a Senior Member of the Board and his advice and suggestions were always given due respect and regard.
4. Declaration of Dividend out of the current profits of the Company for the year ended March 31, 2010, at the rate of Rs. 0.50 paise per equity share i.e., 5% on the Equity Share capital of the Company.
5. Re-appointment of M/s Ramkrish & Co., Chartered Accountants, Chennai, as Auditors of the Company for the year 2010 - 2011 to hold office from the conclusion of this Annual General Meeting till the conclusion of the next Annual General Meeting on a remuneration that may be decided by the Board of Directors. |
