| Exchange Disseminated Time 21/12/2016 17:10:51 | With reference to the earlier letters dated May 21, 2014 and December 30, 2014 in connection with the Scheme of Amalgamation between the Company and Kalindee Rail Nirman (Engineers) Limited (“Kalindee”) and their respective shareholders and creditors (“Scheme”), Texmaco Rail & Engineering Ltd has now informed BSE that the Hon’ble High Court of Calcutta has sanctioned the Scheme vide its judgement pronounced on February 26, 2016. The drawn-up order of the Hon’ble High Court of Calcutta was received by the Company on April 11, 2016. Subsequently, the Hon’ble High Court at Delhi has sanctioned the Scheme vide its judgement pronounced on December 16, 2016. The order of the Hon’ble High Court at Delhi has been uploaded on its website earlier today. We have been given to understand that Kalindee is yet to receive the drawn-up order of the Hon’ble High Court of Delhi.
The Company and Kalindee will make the Scheme effective in accordance with its provisions, read with the orders of the Hon’ble High Court of Calcutta and the Hon’ble High Court of Delhi, and applicable regulations, including the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and the SEBI Circular dated November 30, 2015. |
