| Exchange Disseminated Time | Emkay Global Financial Services Ltd has informed BSE that the members of the Company, by way of Postal Ballot, will consider the resolution authorising the Board of Directors (which term shall be deemed to include a Committee of Directors constituted for this purpose) of the Company to transfer by way of sale of individual assets and liabilities of the Portfolio Management Services (PMS) / Wealth Management Services (WMS) division of the Company on a going concern basis, to its Wholly - owned Subsidiary viz. "Emkay Investment Managers Limited" to be incorporated under the provisions of the Act, with effect from such date, for such consideration and on such other terms and conditions as may be deemed appropriate by the Board of Directors in the best interest of the Company, subject to necessary provisions and approvals.
The Company has appointed Mr. P. N. Parikh of M/s. Parikh & Associates, Company Secretary in whole-time practice as Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.
The Postal Ballot Form should reach to the Scrutinizer on or before July 28, 2010. The Scrutinizer will submit his report to the Chairman/Managing Director after completion of the scrutiny and the results of the postal ballot will be announced thereafter by the Chairman/Managing Director on July 30, 2010. |
