| Exchange Disseminated Time | Indian Link Chain Manufacturers Ltd has informed BSE that the members of the Company will consider to approve by way of Postal Ballot the following resolutions:
1. To make any loan to any other body corporate, give any guarantee , or provide security, in connection with a loan made by any other person to, or to any other person, or acquire, by way of subscription, purchase or otherwise the securities of any other body corporate up to a sum not exceeding Rs 1,00,00,000/- (Rupees One Crores only) notwithstanding that such loan, investment or guarantee etc. together with the company’s existing investments, loans or guarantees etc. in all or any other bodies corporate shall be in excess of any or all the percentages specified in sub-section (1) of the said section 372A and provisos thereto, and the board of Directors of this company be and is hereby authorized to determine the actual amount not exceeding Rs. 1 Crores for giving Inter Corporate Deposit etc and to do or cause to be done and/or execute and/or cause to be executed all such acts, deeds and things as they think necessary or expedient in the matter, required to implement this resolution, subject to necessary provisions and approvals.
The Company has appointed Mr. Shivhari Jalan, a Practicing Company Secretary as Scrutinizer for conducting the Postal Ballot process in a fair and transparent manner.
Duly completed the Postal Ballot form should reach the scrutinizer on or before August 13, 2011. The Scrutinizer will submit his report to the Managing Director or any other Director of the Company after the completion of the scrutiny of the postal ballots and the results thereof will be announced on August 16, 2011, at the Registered Office of the Company. |
