| Exchange Disseminated Time | KLRF Ltd has informed BSE that the Board of Directors of the Company at its meeting held on March 12, 2014, has decided to shut down the operations of "KLRF Textiles Unit-II", a Textile Unit of the Company with effect from March 13, 2014 and it has also been proposed to dispose off the whole of the said undertaking after obtaining necessary approval of the members by way of passing a special resolution pursuant to Section 180(1)(a) of the Companies Act, 2013 through postal ballot as required under Section 192A of the Companies Act, 1956 read with Companies (Passing of the Resolution by Postal Ballot) Rules, 2011.
Accordingly, the Board of Directors have appointed Mr. M D Selvaraj, FCS, Company Secretary in Whole-time Practice, as "Scrutinizer", after obtaining his consent, to conduct the Postal Ballot for the above mentioned purpose in a fair and transparent manner. |
