1. Delisting of its shares from Ahmedabad, Bangalore and Calcutta Stock Exchanges.
2. To issue, offer and allot equity shares and / or securities convertible into Equity Shares at the option to convert or subscribe to Equity Shares, and / or convertible Bond and / or Equity Shares and / or Non - convertible Securities not exceeding Rs 50 million on Private Placement basis. This resolution is subjected to necessary approvals.
