This has reference to the letter bearing Ref. No. NSE/MEM-COMP/363/22181/2017 dated October 12, 2017 received from the National Stock Exchange of India Limited regarding Disqualification of a Director of the Board of Khandwala Securities Limited under Section 164(2) of the Companies Act, 2013. The List of Directors disqualified under Section 164(2) of the Companies Act, 2013 posted on the MCA website reveals that Mr. Kalpen Shukla, Independent Director of the Company (DIN:-00117482) has incurred such disqualification with respect to the Company M/s. Sushruta Mediline Services Private Limited and M/s. SMYLZ Dental Clinics Private Limited, in which he is a director.

We would like to inform you that the above matter has been communicated to Mr. Kalpen Shukla and other Board Members of the Company. This will also be placed by the Company in its ensuing Board Meeting for discussion and necessary action will be taken upon the decision of the Board of Directors of the Company.
