| Exchange Disseminated Time | Windsor Machines Ltd has informed BSE that the Board of Directors of the Company at its meeting held on November 16, 2005, inter alia, has considered, approved and taken on record the terms and conditions of the CDR package sanctioned by the Corporate Debt Restructuring Cell which, inter-alia, provides for:
i. infusion of funds by the Promoter Group.
ii. restructuring of the term loan(s) and working capital loan(s).
iii. conversion into equity certain advances and loans of the Promoter Group and the Lenders.
The implementation of the CDR package is subject to the applicable provisions of the Companies Act, 1956 and applicable guidelines issued by the Securities and Exchange Board of India.
The terms and conditions of the CDR package intimated by the Corporate Debt Restructuring Cell are also subject to the respective approvals of the competent authorities of the lenders involved in the matter. |
