Berger Paints India Ltd has informed BSE that the following Directors, who may be deemed to be non-independent, have resigned from the Board with effect from August 30, 2014. This is a step towards compliance with the Companies Act, 2013 and the proposed Clause 49 of the listing agreement, relating to constitution of the Board of Directors:

a. Gerald K Adams
b. Mr. Anil Bhalla
c. Mr. Subir Bose
d. Mr. Gurcharan Das
e. Mr. Srijit Dasgupta

Messrs Gerald K. Adams, Anil Bhalla, Subir Bose and Gurcharan Das have agreed to act as members of an Advisory Committee formed to support to the Company in matters of management, finance, marketing and the industry.

Mr. Srijit Dasgupta will continue to attend meetings of Board and Audit Committee as Head of Finance, designated - Director, Finance and a Key Managerial Personnel.
