Advani Hotels & Resorts (India) Ltd has informed BSE that the Independent Directors of the Company at its meeting held on March 28, 2015, inter alia, has transacted the following matters;

1. performance of non-independent directors and the Board as a whole;

2. performance of the Chairman of the Company taking into account the views of Executive Directors and Non-Executive Non Independent Directors of the Company; and

3. to assess the quality, quantity and timeliness of flow of information between the Company management and the Board that is necessary for the Board to effectively and reasonably perform their duties.
