| Exchange Disseminated Time | Noida Toll Bridge Company Ltd has informed BSE that a General Meeting of all the holders of the Global Depositary Receipts issued by the Company ("GDRs") under the deposit agreement dated March 21, 2006 (and as amended on August 08, 2006) (the "Deposit Agreement") between Noida Toll Bridge Company Ltd (the "Company") and Deutsche Bank Trust Company Americas (the "Depositary") will be held on April 06, 2009, for the purpose of considering and, if thought fit, passing the following resolution, with or without modification:
"To approve the proposed cancellation of admission to trading on the AIM market of the London Stock Exchange plc ("AIM") of the GDRs (the "AIM Cancellation"), subject to the approval of the equity shareholders of the Company; and (ii) the board of directors of the Company (the "Board") (or a committee thereof or such other person as may be authorised by the Board) be and are hereby authorised to do all such acts, deeds, matters and things and to execute such documents as they may in their absolute discretion deem necessary, expedient or desirable to effect the AIM Cancellation." |
