Uma Reddy (Ms. Chennareddy Uma Reddy) ("Acquirers"), has issued this Public Announcement ("PA") to the Public Shareholders of Kavveri Telecom Products Ltd ("Target Company"), pursuant to & in compliance with Regulations 10 and other applicable Regulations of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereto ("SEBI (SAST) Regulations")
The Offer:
This Offer is being made by the Acquirers to the Public Shareholders (other than Promoter of the Target Company) of the Target Company to acquire up to 28,13,796 fully paid up equity shares of the face value of Rs. 10/- each of the Target Company ("Equity Shares") representing 20% of the voting & paid up equity share capital of the Target Company. This Offer is being made pursuant to & in compliance with Regulations 10 of SEBI (SAST) Regulations at a price of Rs. 116.47/- per fully paid up equity share ("Offer price") payable in cash in terms of Regulations 20 & 21 of the Regulations ("Offer" or "Open Offer").
