1. Adoption and approval of the Audited Accounts for financial year 2006-07.

2. Appointment of M/s. Ravi & Dev as Statutory Auditors of the Company.

3. Re-appointment of Mr. Premji Kanani, Mr. Vinubhai Kanani, Mr. Harshil Kanani as Directors of the Company.

4. Appointment of Mr. Gautam Parekh, Mr. Shailesh Patel and Mr. Devendra Kikani as Directors of the Company.

5. Approval of change in name of Company from "IMP Finance Ltd" to "Kanani Industries Ltd".

6. Alteration in Main Object of the Company in pursuant to Section 17 of the Companies Act, 1956.
