| Exchange Disseminated Time | BL Kashyap & Sons Ltd has informed BSE that the Members of the Company will consider to approve the Special Resolution by way of Postal Ballot regarding to make investments and to provide loans, give securities, guarantee(s) in excess of "sixty per-cent of the aggregate of the paid-up share capital and free reserves or hundred per-cent of the aggregate of free reserves of the Company, whichever is more" as prescribed under section 372A, in/to the following Bodies Corporate as they may in their absolute discretion deem beneficial and in the interest of the Company subject to the maximum aggregate amount not exceeding Rs. 850.00 Crores at any time together with the existing loans, investments and guarantees to any other Bodies Corporate.

The Board of Directors has appointed Mr. Rahul Jain, Practicing Company Secretary as the Scrutinizer for the purpose of Postal Ballot exercise.
The Postal Ballot form duly completed should reach the scrutinizer not later than the close of working hours on September 21, 2009. The scrutinizer will submit his report to the Chairman, or in his absence by any other person, so authorized by the Chairman after completion of the scrutiny and the results of the postal ballot will be announced on September 29, 2009. |
