1. A separate meeting of the independent directors of the Company was held on March 31, 2015.
2. The Independent Directors have considered and reviewed the following:
i) the performance of Non-Independent Directors and the board as a whole;
ii) the performance of the Chairperson of the Company after considering the views of Executive Directors & Non-Executive Directors;
iii) Assessed the quality, quantity and timeliness of flow of information between the Company management and the board as a whole, to enable them to discharge their duties effectively. |
