| Exchange Disseminated Time | Ambalal Sarabhai Enterprises Ltd has informed BSE that the Board of Directors of the Company at its meeting held on January 17, 2009, has considered and approved the Postal Ballot Notice pursuant to Section 192A of the Companies Act 1956 for obtaining the consent of the Shareholders for the following matters:
1.Authority to Transfer and assign Sarabhai Chemicals Bulk Drugs Division as a going concern to Synbiotics Ltd, a wholly—owned subsidiary of the Company.
2. Authority to Transfer and assign Electronics (Systronics and Telerad) Division as a going concern to Systronics (India) Ltd, a wholly-owned subsidiary of the Company.
3. Authority to transfer and assign Captive Power Plant of Sarabhai Common Services Division as a going concern to Mautik Exim Ltd a wholly- owned subsidiary of the Company. |
