- in accordance with the provisions of Section 196, 197 and all other applicable provisions, if any, of the Companies Act, 2013 or any statutory modification(s) or re-enactment thereof and the Articles of Association of the Company and subject to the approval of Members, Central Government, the consent of the Board of Directors be and is hereby accorded for payment of remuneration to Mr. Rajesh Jain, Non-executive Director of the Company not exceeding Rs.3 lacs (Rupees Three Lacs only) per month, for the remaining period of 2.5-years i.e. April 01, 2014 to September 30, 2016, in addition to directors’ sitting fee as per rules of the Company for attending the meeting of Board of Directors or Committees thereof. |
