| Exchange Disseminated Time | FAG Bearings India Ltd has informed BSE that the members at the Annual General Meeting (AGM) of the Company held on April 24, 2009, inter alia, have accorded to the following:
1. Adoption of the Audited Annual Accounts of the Company including the Audited Balance Sheet as at December 31, 2008 and Profit & Loss Account for the financial year ended on that date, together with Cash Flow Statement, schedules and notes as attached thereto, the Directors’ and Auditor’s Report thereon.
2. Declaration of the final dividend on the fully paid up equity shares of the Company at the rate of Rs. 4.5 per equity share for the year 2008.
3. Re-appointment of Dr. Vidya Sagar & Mr. Dietmar Heinrich, as Directors of the Company.
4. Appointment of M/s. Mohinder Puri & Co., Chartered Accountants, New Delhi, the Statutory Auditors of the Company, to hold office until the conclusion of the next Annual General Meeting, on remuneration terms & conditions.
5. Appointment of Mr. Moreshwar Garde & Mr. Wolfgang Dangel, as Directors of the Company. |
