| Exchange Disseminated Time | eClerx Services Ltd has informed BSE that the Board of Directors of the Company vide its resolution passed by circulation dated July 01, 2014, accepted the resignation of Mr. Nityanath Ghanekar with effect from July 01, 2014, considering his letter conveying that due to personal reasons he would not be able to continue as a Director of the Company and requested to be relieved with immediate effect. The Board also placed on record its appreciation for the contribution made by Mr. Ghanekar during his association with the Company.
It was also decided that in view of the same, Item No. 6 in the Notice for the ensuing 14th AGM to be held on July 10, 2014, pertaining to appointment of Mr. Nityanath Ghanekar, as Non-Executive Independent Director, can no longer be considered, hence would not be taken up for shareholders' approval via e-voting / for consideration at the AGM.
Mr. Ghanekar was appointed as Additional Director of the Company w.e.f. March 11, 2014 and was member of Company's Audit Committee and Nomination & Remuneration Committee, which now stand amended accordingly. |
