| Exchange Disseminated Time | Comfort Securities Pvt Ltd ("Manager to the Offer"), on behalf of Singhal Merchandise (India) Pvt Ltd ("Acquirer") has issued this Public Announcement ("PA") to the equity shareholders of Zenzy Technocrats Ltd ("Target Company"), pursuant to Regulation 10 and Regulation 12 of, and in compliance with, the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 1997 and subsequent amendments thereto ("SEBI (SAST) Regulations").
The Offer:
The Acquirer is hereby making an Open Offer in terms of the SEBI (SAST) Regulations to the public shareholders of the Target Company to acquire upto 61,250 fully paid up equity shares ("Offer Size") bearing a face value of Rs. 10/- each, representing 20.00% of the total issued, subscribed and paid up equity share capital of the Target Company at a price of Rs. 25/- (Rupees Twenty Five only) per equity share ("Offer Price"), payable in cash subject to the terms and conditions mentioned in PA.
