| Exchange Disseminated Time | Tide Water Oil (India) Ltd has informed BSE that members of the Company, by way of Postal Ballot, have passed the following resolutions, with requisite majority :
1. Special Resolution for approval of Tide Water Oil Co. (India) Limited Employee Welfare Scheme, 2010-11.
2. Special Resolution for approving constitution of Tide Water Oil Co. (India) Limited Employee Welfare Trust.
3. Ordinary Resolution for approving modification of terms and conditions of appointment of Executive
Director.
4. Ordinary Resolution under section 293(1 )(d) of the Companies Act 1956 for borrowing by the Board of Directors upto Rs. 400 crores (Rupees Four Hundred Crores only) outstanding at any point of time.
5. Ordinary Resolution under section 293(1 )(a) of the Companies Act, 1956 relating to mortgaging and / or charging by the Board of Directors of whole or substantially the whole of one or more undertakings of the Company for securing any loan obtained or to be obtained upto an aggregate amount not exceeding Rs. 400 crores (Rupees Four Hundred Crores only). |
