| Exchange Disseminated Time | Thirumalai Chemicals Ltd has informed BSE that the members at the Extra Ordinary General Meeting (EGM) of the Company held on March 12, 2009, inter alia, have accorded to the following:
1. Amendment / modification in the Articles of Association of the Company in following ways, subject to necessary provisions and approvals :
(a) In Article 18 of the Articles of Association, substitute the words "Securities premium Account" in place of the words "Share Premium Account",
(b) the following sentence be inserted at the end in Article 9 of the Articles of Association of the Company:
"Notwithstanding anything contained herein, any amounts standing to the credit of the Securities Premium Account and / or the Capital Reserve Account and / or General Reserve Account and / or Amalgamation Reserve Account may also be utilized in accordance with the provisions of law."
2. Authority to the Board to adjust an amount of Rs 18,27,69,550/- (Rupees Eighteen Crore Twenty Seven Lakhs Sixty Nine Thousand Five Hundred and fifty only) being an Investment made by the Company in joint venture - TCL Industries (Malaysia) SDN BHD, as on December 31, 2008 against the following accounts of the company and to the extent as mentioned hereinafter, subject to necessary provisions and approvals :
(a) Firstly from Capital Reserve Account to the extent of Rs 25,00,000/- (Rupees Twenty Five Lac Only)
(b) Secondly from Amalgamation Reserve Account to the extent of Rs 18,70,920/- (Rupees Eighteen Lac Seventy Thousand Nine Hundred Twenty only),
(c) Balance from Securities Premium Account to the extent of Rs 17,83,98,630/- (Rupees Seventeen Crore Eighty-three Lac Ninety eight Thousand Six Hundred Thirty only). |
