| Exchange Disseminated Time | Standard Industries Ltd has informed BSE that members of the Company will consider the following resolutions by way of Postal Ballot.
- Authority to the Board of Directors of the Company (hereinafter referred to as "the Board", which term shall include a Committee of Directors constituted for the purpose) to sell, lease, transfer, assign, develop or otherwise dispose of in any manner, the land situated at Village Naugama, Taluka Zagadia, District Bharuch, Gujarat, (which may be considered as an "Undertaking" for the purpose of Section 293 of the Act) in one or more tranches to one or more parties at such consideration and on such terms and conditions and in such manner and with effect from such date as the Board may deem fit and proper in the interest of the Company, subject to necessary provisions and approvals.
The Company has appointed Mrs. Ratan Kapadia, Practising Company Secretary, as Scrutinizer for conducting the postal ballot process in a fair and transparent manner.
The Postal Ballot Form, should reach the Scrutinizer on or before August 01, 2011. The Scrutinizer will submit her report to Shri Pradeep R. Mafatlal, Chairman and/or any other Director of the Company, after completion of scrutiny in a fair and transparent manner and the results of the Postal ballot will be announced at 11.00 A.M. on August 03, 2011 at the City Office of the Company at 59, 'The Arcade', 1st Floor, World Trade Centre, Cuffe Parade, Colaba, Mumbai -400 005. |
