Kotak Mahindra Capital Company Ltd (:Manager to the Open Offer-cum-Delisting Offer") has submitted to BSE a Copy of Public Announcement (“Public Announcement”) is being issued by CSC Computer Sciences International Operations Limited (“Acquirer”) along with Computer Sciences Corporation (“CSC”), CSC Technologies India Private Limited (“CSC India”) and Computer Sciences Corporation India Private Limited (“CSC IPL”) (CSC, CSC India and CSC IPL are collectively referred to as “PACs”), in their capacity as the persons acting in concert with the Acquirer, to the public shareholders (as defined under Regulation 2(1)(v) of the Delisting Regulations) (“Public Shareholders”) of Xchanging Solutions Limited (“Target Company”), in respect of the proposed acquisition and delisting of the fully paid-up equity shares of the Company currently not held by the Acquirer and the PACs, being 27,850,929 shares (“Offer Shares”) representing 25% (twenty five per cent.) of the Company’s equity share capital (“Equity Shares”) from BSE Limited (the “BSE”), and National Stock Exchange of India Limited (the “NSE”, and together with the BSE, the “Stock Exchanges”) pursuant to Regulation 5A of the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, as amended (the “SEBI (SAST) Regulations”) read with Regulation 10 of the Securities and Exchange Board of India (Delisting of Equity Shares) Regulations, 2009, as amended (“Delisting Regulations”) (“Delisting Offer”).
