| Exchange Disseminated Time | Core Emballage Ltd has informed BSE that the members at the 25th Annual General Meeting (AGM) of the Company held on September 29, 2009, inter alia, have considered the following business:
1. Received, considered and adopted the Audited Balance Sheet as at March 31, 2009 and Profit & Loss Account for the year ended on that date and the report of Directors' and Auditors' thereon.
2. Re-appointment of M/s. Sharedalal & Co., Chartered Accountants, Ahmedabad as Statutory Auditors of the Company who shall hold the office upto the conclusion of next Annual General Meeting with a remuneration as decided by BOD.
3. Regularizing the appointment of Directors namely Mr. Hitesh Adeshara, Mr. Kirtan Soni, Mr. Kishor Mandalia, Mr. Mukesh Adeshara, Mr. Vipul Mandalia and Mr. Zaverilal Mandalia who were earlier appointed as Additional directors in the Board Meeting dated August 07, 2009 and now eligible to retire by rotation.
4. Change of Name of the Company from CORE EMBALLAGE LTD to AUSOM ENTERPRISE LTD subject to approval of Central Government.
5. Appointment of Mr. Kishor Mandalia as Managing Director of the Company for a period of 3(Three) year without any remuneration.
6. Declaration of Result of Postal Ballot for shifting of Registered Office to New Ahmedabad Industrial Area, Moraiya village. And change in Main object of the Memorandum of Association of the Company. |
