Empower India Ltd has informed BSE that the Board of Directors of the Company at its meeting held on December 01, 2015, has transacted the following business:

1. Approved and adopted New Listing Agreement to be entered with the Stock Exchange on behalf of the Company.

2. In accordance with SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (LODR Regulations), we hereby confirm that the following required policies as laid down under the said regulations have been approved and adopted by the Board of Directors of the Company:

a) Policy on Preservation of Documents and Archival Policy pursuant to Regulation 9 and Regulation 30(8) of the LODR Regulations.

b) Policy for Disclosure of Event/Information and Determination of the Materiality pursuant to Regulation 30(4)(ii) of the LODR Regulations. Further, in accordance with the provisions of Regulation 30 (5) of the LODR Regulations, the Key Managerial Personnel and Director of the Company are severally and jointly authorized, to determine the materiality of an event or information in accordance with the criteria as enumerated and make disclosures to the Stock Exchanges.

3. To incorporate a subsidiary under the name and style of Empower TradEX Private Limited (Empower TradEX), or any other name as approved by the Registrar of Companies, to build and operate an e-commerce portal to facilitate online exchange of goods and service between businesses and consumers on its platform www.empowertradeexchange.com (Empower Trade Exchange).

At Empower Trade Exchange, the user will be able to Trade/Exchange his goods/services with others either for Goods & Services, virtual currency or coupons which can be later used to trade for other goods & services. The users can also participate in auctions, bids, reverse auctions, etc.

Empower India shall be the holding company and the minority shares shall be held by its Promoter Mr. Devang Master and other strategic investors.

Empower Trade Exchange is a powerful blend of a traditional e-commerce and barter which shall provide new avenue to businesses and consumers to expand their reach beyond cash transaction and help to increase their sales, save cash and turn idle resources into income/profit.
